Organization and coordination of the unit responsible for further activities.
Verification of the legal capacity of non-resident companies that are counteragents of the Company.
Organization, supervision and registration of the mortgages, surety/guarantee agreements that are complicated by foreign elements(registration of mortgages over aircrafts, vessels, immovable property, securities on the territory of foreign countries)
Organization of cooperation with legal companies for the realization of various projects of the Company (jurisdictions, UK, Cyprus, etc.).
Development of standard forms and order on getting the legal reports from foreign law consultants.
Supervision of the transactions of the Investment department of the Company with foreign elements (M&A, LBO, etc.)
Organization and overall communications with he foreign shareholder of the Company (including but not limited to completion of additional placement of the Company shares, preparation of various agreements between the shareholders, etc.)
Preparation and organization of due diligence, both of the Company itself and of the Company counteragents (including due diligence questionnaire, organization of the documents preparation, choice of legal consultants, due diligence rules, data room organization, data index preparation, due diligence results analysis, etc.)
Organization of the total legal support of the Company branch at the Republic of Cyprus and of the Company representative office located abroad. |
Требования к кандидату
| Профессиональные навыки: |
Образование высшее юридическое.
Опыт работы от 2-х лет на руководящих (либо замещающих должностях, от 3-х человек в подчинении) должностях в заявленной области; опыт самостоятельного ведения проектов с участием нерезидентов.
Обязателен опыт работы в инвестиционных компаниях, банках.
Английский устный и письменный (свободное владение), включая юридическую и финансовую лексику, немецкий - приветствуется. |
